Terms of Service

Last updated: June 16, 2026 (names updated October 22, 2026)

Shaped Supply LLC (“Shaped Supply,” “we,” “us”), a California LLC (entity no. B20260468796), runs shaped supply showroom at co-op.shapedsupply.com (the “Platform”): a private wholesale space where shops order from brands. These Terms govern your use of the Platform. By applying for or using an account, you agree to these Terms.

1. What Shaped Supply is

shaped supply showroom is a business-to-business wholesale showroom that connects brands with approved retail buyers. We are an intermediary and showroom — we are not the seller of any brand’s products, and we do not process payments on the Platform.

2. Accounts & eligibility

  • The Platform is for businesses only. You must apply and be approved to access it.
  • You must provide accurate information and keep it current.
  • You are responsible for your login credentials and all activity under your account.
  • We may approve, decline, suspend, or remove accounts at our discretion.

3. A purchase order is your commitment to buy

A purchase order you submit on the Platform is your commitment to buy the goods on it if the brand can fill them. It becomes a binding sale when the brand accepts it, or — where the brand sends back changed sizes or quantities — when you approve those changes. A brand may decline a purchase order, in which case nothing is owed and nothing is charged. Prices shown are wholesale and are visible to approved buyers only.

4. Payment

You keep a payment method on file. Nothing is charged when you submit a purchase order; the card on file is charged for that purchase order's total once the brand accepts it, or once you approve a brand's changes. Shaped Supply does not take title to the goods and does not hold the proceeds of the sale as its own.

5. Fulfillment is between you and the brand

The brand fulfills and ships the goods directly to you and adds tracking to the purchase order. Shaped Supply is not responsible for product quality, fulfillment, shipping, or returns, which are between you and the brand.

6. Acceptable use

  • Use the Platform only for legitimate wholesale business.
  • Do not misuse, copy, scrape, or resell access to the Platform or its content.
  • Do not attempt to disrupt or gain unauthorized access to the Platform.

7. Content & intellectual property

Brand names, imagery, and line-sheet content belong to the respective brands. The Shaped Supply name, marks, and the Platform itself belong to Shaped Supply. You may not use them without permission.

8. Disclaimers

The Platform is provided “as is” and “as available,” without warranties of any kind. We do not guarantee that listings, pricing, or availability are error-free, or that the Platform will be uninterrupted or secure.

9. Limitation of liability

To the fullest extent permitted by law, Shaped Supply will not be liable for any indirect, incidental, or consequential damages, or for disputes between buyers and brands. Our total liability for any claim relating to the Platform is limited to USD $100.

10. Indemnification

You agree to indemnify and hold Shaped Supply harmless from claims arising out of your use of the Platform or your transactions with brands or buyers.

11. Termination

You may stop using the Platform at any time. We may suspend or terminate access if you violate these Terms.

12. Governing law

These Terms are governed by the laws of the State of California. Any dispute will be handled in the state or federal courts located in San Diego County, California.

13. Changes

We may update these Terms. Continued use of the Platform after changes take effect means you accept the updated Terms.
